Terms of Service

Effective Date: April 29, 2026

These Terms of Service ("Terms") govern your access to and use of ExitLeap, including www.exitleap.com and related marketplace services. By using ExitLeap, you agree to these Terms. If you use ExitLeap on behalf of a company or other entity, you represent that you have authority to bind that entity.

Eligibility And Accounts

You must be at least 18 years old and able to enter into a binding contract to use ExitLeap. You are responsible for maintaining accurate account information, protecting your credentials, and all activity under your account.

Marketplace Role

ExitLeap provides tools for business sellers, buyers, and brokers to create listings, discover acquisition opportunities, submit offers, and communicate in deal rooms. ExitLeap is not a party to transactions between users unless expressly stated in a separate written agreement.

User Content And Listings

You are responsible for information you submit, including listings, financial details, messages, documents, and profile content. You represent that you have the rights and authority needed to submit that content and that it is accurate, lawful, and not misleading.

You grant ExitLeap a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, and process submitted content as needed to operate and improve the service. We may remove or restrict content that we believe violates these Terms or creates risk for users or ExitLeap.

AI-Assisted Features

ExitLeap may use AI-assisted tools to draft listing content, classify industries, summarize information, and recommend opportunities. AI-generated content may be incomplete or inaccurate. Users must review and verify all outputs before publishing, relying on, or sharing them.

Offers, Deal Rooms, And Documents

Offers submitted through ExitLeap are user-generated communications and do not guarantee a transaction. Users are responsible for their own diligence, negotiations, legal review, financing, tax advice, and closing arrangements. Documents shared in deal rooms should be shared only with authorized parties and only when you have the right to disclose them.

Payments And Third-Party Services

Some features may require payment or use of third-party services. Fees, if any, will be disclosed before purchase. Third-party services may have their own terms and privacy policies, and ExitLeap is not responsible for third-party acts or omissions.

Prohibited Conduct

You may not use ExitLeap to violate law, submit false or misleading information, impersonate others, scrape or misuse data, interfere with service operations, upload malicious code, infringe intellectual property rights, harass users, or attempt unauthorized access to accounts, systems, or deal rooms.

Disclaimers

ExitLeap is provided on an "as is" and "as available" basis. We do not guarantee that listings are accurate, that buyers are qualified, that sellers will close, that businesses meet stated performance, or that the service will be uninterrupted or error-free.

Limitation Of Liability

To the maximum extent permitted by law, ExitLeap and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from your use of the service.

Indemnification

You agree to defend, indemnify, and hold harmless ExitLeap and its affiliates from claims, damages, liabilities, costs, and expenses arising from your content, your transactions, your misuse of the service, or your violation of these Terms.

Termination

You may stop using ExitLeap at any time. We may suspend or terminate access if we believe you violated these Terms, created risk, or used the service in a way that could harm ExitLeap or other users.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Venue for disputes will be in state or federal courts located in New York unless a separate written agreement provides otherwise.

Changes To These Terms

We may update these Terms from time to time. The effective date above indicates when these Terms were last revised. Continued use of ExitLeap after updated Terms become effective means you accept the updated Terms.
